Terms of Service

Welcome to Echelon Advising LLC (“Echelon”, “Company”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your access to and use of our website, Client Portal, Echelon API, and AI engineering services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization.

1. Provision of Services

Echelon provides enterprise-grade AI automation infrastructure, including dedicated vector databases, autonomous agent orchestration, and custom data pipelines. Our Services include but are not limited to:

AI Automation Workflows

Custom pipelines connecting your SaaS tools into intelligent automation sequences.

AI Agents & Assistants

Fine-tuned conversational AI for customer support, triage, and internal operations.

Internal AI Tooling

Bespoke dashboards and software built on your proprietary data.

Automation Infrastructure

Cloud architecture for high-volume API calls and secure data storage.

Modification Rights: We reserve the right to modify or discontinue, temporarily or permanently, any portion of the Services with 30 days' written notice to active enterprise clients.

2. Account Security & API Keys

You are responsible for safeguarding all credentials associated with your Echelon account. This includes:

  • Your Client Portal password and any associated multi-factor authentication tokens.
  • Programmatic API Keys (e.g., ech_live_xxxxxxxxxxxx) used to access the Echelon API.
  • Session tokens generated by OAuth integrations with third-party platforms.

Key Revocation Rights

Echelon reserves the right to immediately rotate, suspend, or revoke any API key that:

  1. Is publicly leaked in a code repository, client-side bundle, or public forum.
  2. Exhibits anomalous traffic patterns suggestive of abuse or unauthorized access.
  3. Generates excessive latency impacting the global network infrastructure.

All actions taken under your account or via your API keys are presumed authorized by you. Echelon is not liable for any loss or damage arising from failure to comply with these security obligations.

3. Intellectual Property

Our IP

The Echelon Services — including the codebase, predictive models, proprietary API structures, and the “Echelon” trademark — are the exclusive property of Echelon Advising LLC. Unauthorized reproduction, modification, or distribution is strictly prohibited.

Your IP

Any data, documentation, or workflows you provide to us for processing remain your exclusive intellectual property. We claim no ownership over the inputs or outputs generated by your specific deployment instances.

4. Subscriptions & Billing

Certain aspects of the Services are provided for a fee. Payments are processed via our third-party merchant of record, Whop (WOP).

Payment Terms

By subscribing to a paid tier (Sprint, Scale, or Enterprise), you agree to pay all fees in accordance with the billing terms presented at the time of purchase.

Non-Payment

Failure to pay may result in immediate suspension of API access, Dashboard tooling, and deployed agent instances.

Refund Policy

Due to the intensive, custom nature of our engineering engagements, refunds are handled on a case-by-case basis and are not guaranteed after work has commenced.

5. Acceptable Use

You agree not to misuse the Echelon Services. You are strictly bound by the Acceptable Use Policy, which prohibits:

  • Reverse engineering the Echelon infrastructure or API endpoints.
  • Attempting to bypass rate limits, authentication, or billing mechanisms.
  • Utilizing the automation infrastructure for illegal or malicious activities.
  • Deploying recursive autonomous loops without programmatic exit conditions.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ECHELON BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

This limitation applies regardless of the theory of liability and even if Echelon has been advised of the possibility of such damages.

7. Governing Law

Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Dispute Resolution

Any legal action or proceeding will be brought exclusively in the federal or state courts located in San Francisco County, California.
